This General Disclaimer governs your access to and use of souq.gg, a curated storefront for downloadable and access-based digital products ("we", "us", "our", "the Operator", or "souq.gg").
souq.gg is operated as the sole undertaking of an independent individual based in Dubai, United Arab Emirates (the "Operator", "we", "us"); "souq.gg" is the trading name we use. We are not incorporated and are not currently registered as a company. Our place of business is Dubai, United Arab Emirates. This Disclaimer forms part of, and should be read together with, our Terms of Service, Licence Terms, Refund & Replacement Policy, Delivery Policy, and Privacy Policy. Where a defined term is used here without definition, it has the meaning given in our Terms of Service. If anything in this Disclaimer conflicts with a mandatory consumer-protection right you hold that cannot be excluded by law, that mandatory right prevails to the extent of the conflict.
By creating an account, or purchasing, downloading, or otherwise using any product or content, you confirm that you have read, understood, and accepted this Disclaimer.
1. Educational and informational purpose only
1.1. All products, files, courses, guides, templates, prompt packs, spreadsheets, source code, design assets, articles, descriptions, and other materials made available on or through souq.gg (together, the "Content") are provided for general educational and informational purposes only.
1.2. The Content is not advice and must not be relied upon as advice. In particular, nothing on souq.gg is, or is intended to be, legal, financial, investment, tax, accounting, business, medical, psychological, or other professional advice, and it is not a substitute for advice from a qualified, licensed professional who has reviewed your specific circumstances.
1.3. The Content is general in nature. It does not take account of your individual objectives, financial situation, knowledge, experience, legal position, jurisdiction, or particular needs. What is appropriate for one person may be inappropriate or harmful for another.
1.4. No professional relationship. Purchasing, downloading, or using any Content, or contacting us at support@souq.gg, does not create any lawyer-client, financial-adviser, accountant-client, doctor-patient, fiduciary, agency, partnership, employment, or other professional or advisory relationship between you and the Operator or any author or licensor of the Content.
1.5. Always consult a qualified professional. Before acting, or refraining from acting, on the basis of any Content, you should obtain independent advice from a suitably qualified and licensed professional in the relevant field and in your own jurisdiction. You are solely responsible for any decision you make and any action you take or do not take.
2. Cryptocurrency, digital assets, and Web3 content
This Section applies to all Content that relates to cryptocurrencies, tokens, blockchains, decentralised finance, NFTs, mining, staking, wallets, exchanges, or any other digital-asset or Web3 topic ("Crypto/Web3 Content"). It applies in addition to, and does not limit, the rest of this Disclaimer.
2.1. Educational only — not investment advice. All Crypto/Web3 Content is provided strictly for general educational and informational purposes. Nothing in it is, or should be construed as, investment advice, financial advice, trading advice, a financial promotion, a solicitation, or a recommendation to buy, sell, hold, stake, lend, mine, or otherwise transact in any digital asset, token, coin, project, protocol, or financial instrument.
2.2. Content standard. Our crypto and Web3 products are educational and avoid specific buy/sell recommendations, price targets, or promises of returns.
2.3. No transferable value. No product on souq.gg includes, confers, unlocks, or redeems any cryptocurrency, token, NFT, airdrop, gift card, or other instrument of transferable value, and we do not accept cryptocurrency as payment.
2.4. High risk and volatility. Digital assets are highly speculative, volatile, and risky. Their prices can rise or fall sharply and without warning, and you may lose some or all of the money you put in. Past performance is not a reliable indicator of future results. Risks include, without limitation, extreme price volatility, total loss of capital, lack of liquidity, smart-contract bugs and exploits, hacking and theft, irreversible transactions, lost keys, scams and fraud, project failure, market manipulation, and sudden changes in law, regulation, or tax treatment that may make holding or transacting in digital assets restricted or illegal where you are.
2.5. Do your own research (DYOR). You are responsible for conducting your own independent research and due diligence and, where appropriate, for obtaining advice from a qualified and licensed financial or legal professional, before making any decision involving digital assets. Do not act on Crypto/Web3 Content alone.
2.6. We are not a financial-services provider. The Operator is not a broker, dealer, exchange, trading platform, investment adviser, fund, custodian, wallet provider, money-services business, payment institution, or financial-services provider of any kind, and is not licensed or registered as any of these by any authority. We do not custody, hold, manage, transmit, or have access to your digital assets, funds, wallets, private keys, or accounts, and we do not facilitate any digital-asset transaction. souq.gg sells educational digital products about these topics — nothing more.
2.7. Your responsibility for legality. Laws on digital assets differ widely between countries and change frequently. You are solely responsible for ensuring that holding, acquiring, using, or transacting in any digital asset is lawful where you are, and for any tax that results.
3. No guarantee of results, earnings, or outcomes
3.1. We make no guarantee, promise, or representation of any particular result, outcome, performance, income, profit, saving, return, ranking, approval, qualification, grade, or other benefit from the purchase or use of any Content.
3.2. Any example, case study, testimonial, projection, sample figure, or illustration of a possible result is for illustration only. It is not typical, not a promise, and not a guarantee that you or anyone else will achieve the same or any similar result.
3.3. Results depend on you. Outcomes depend on many factors entirely outside our control — including your own effort, skill, experience, judgement, diligence, resources, timing, market conditions, and circumstances. We do not guarantee that the Content is suitable for your goals or that following it will produce any result at all.
3.4. Nothing on souq.gg should be understood as a "get rich quick", guaranteed-income, or guaranteed-savings scheme. We expressly disclaim any such representation.
4. Content provided "as is" — no warranties
4.1. If you are a consumer, the following exclusions do not affect your statutory rights to digital content of satisfactory quality, fitness for purpose, and conformity: To the fullest extent permitted by applicable law, the Content and the souq.gg service are provided on an "as is" and "as available" basis, without warranties or conditions of any kind, whether express, implied, statutory, or otherwise.
4.2. In particular, and without limitation, we do not warrant or guarantee that the Content is accurate, complete, current, reliable, error-free, fit for any particular purpose, of satisfactory quality, non-infringing, or merchantable, or that any errors will be corrected, or that the service will be uninterrupted, timely, or secure. We make this disclaimer to the maximum extent the law allows.
4.3. We take reasonable and appropriate measures to keep the Content useful and our service available, but we do not promise perfection and cannot guarantee any specific level of accuracy, availability, or security.
4.4. Mandatory rights preserved. Nothing in this Section excludes or limits any warranty, guarantee, or right that cannot be excluded or limited under the law that applies to you. If you are a consumer in the EU or UK, your statutory rights in respect of digital content that is faulty, defective, or materially not as described are not affected by this Disclaimer; the same applies to consumers protected by the UAE Consumer Protection Law (Federal Law No. 15 of 2020) and by other mandatory consumer-protection laws. 5. Third-party links, resources, and tools
5.1. The Content and our pages may reference, link to, or rely on third-party websites, platforms, services, tools, software, data, or resources that we do not own or control (for example external access links, referenced applications, exchanges, marketplaces, APIs, or reading lists).
5.2. We provide such references for convenience and information only. A link or mention is not an endorsement, recommendation, sponsorship, or guarantee of any third party, or of their content, products, services, accuracy, safety, or practices.
5.3. We are not responsible or liable for any third-party site, resource, or tool, for its availability, content, or accuracy, or for any loss or damage arising from your use of it. Your dealings with any third party — including any purchase, account, payment, or reliance — are solely between you and that third party and are subject to their own terms and privacy practices. You access third-party resources at your own risk.
6. Forward-looking statements and ageing content
6.1. Some Content reflects opinion, interpretation, analysis, prediction, or forward-looking statements as at the date it was created. Opinions are those of the relevant author and are not statements of fact.
6.2. Information ages. Laws, regulations, tax rules, market conditions, technology, platform features, prices, and best practices change — sometimes quickly. Content that was accurate when published may become outdated, incomplete, or incorrect, and we are under no obligation to update it, although we may do so.
6.3. You are responsible for checking whether any Content is still current and applicable before you rely on it, and for verifying time-sensitive information against an authoritative, up-to-date source.
7. Your responsibility and assumption of risk
7.1. You access and use souq.gg and the Content voluntarily and at your own risk, and you are solely responsible for evaluating the Content and for any decision, action, or omission based on it.
7.2. You are responsible for having the equipment, software, accounts, skills, and prerequisites reasonably needed to use a product, where those needs are disclosed on the product page or are obvious for the product type, and for backing up files you download.
7.3. To the maximum extent permitted by law, you assume all risk arising from your reliance on the Content, subject always to the mandatory rights and the liability carve-outs described in Section 8.
8. Limitation of liability (cross-reference to the Terms)
8.1. This Disclaimer is subject to, and must be read together with, the "Limitation of Liability" and "Disclaimer of Warranties" sections of our Terms of Service, which govern and which are incorporated here by reference.
8.2. Nothing in these terms limits or excludes our liability where it would be unlawful to do so, including for fraud, for death or personal injury caused by negligence, or for breach of your mandatory statutory rights as a consumer (including the quality, conformity and remedy rights for digital content).
8.3. If you are a consumer, our liability for a faulty or not-as-described product is not capped below the remedy your statutory rights provide, and we do not exclude liability for foreseeable loss caused by our breach.
8.4. If you are a business user, our total aggregate liability connected with a product is limited to the greater of the price you paid for the product, the fees you paid to us in the 12 months before the claim, or USD 100, and we exclude indirect, incidental, special or consequential loss and loss of profit, revenue, data or goodwill.
8.5. If you are a consumer, this Disclaimer does not affect your mandatory statutory rights, and any limitation here applies only so far as the law allows.
9. Severability and interpretation
9.1. If any part of this Disclaimer is found by a competent court or authority to be invalid, unlawful, or unenforceable, that part is to be severed to the minimum extent necessary, and the remaining provisions continue in full force and effect.
9.2. Headings are for convenience only and do not affect interpretation. Words such as "including" and "for example" are illustrative and not limiting.
10. Changes to this Disclaimer
We may update these terms. For changes that materially affect you we will give reasonable advance notice (a notice on the site or by email). For changes that materially affect you as a consumer, we will give you direct notice (by email to your account address) at least 30 days before they take effect. No change reduces your rights in products you have already purchased. Changes apply only going forward; each purchase remains governed by the version in force when you bought it, which we record. If you do not accept a change you may stop using the service and close your account, and you keep access to products you have already lawfully purchased under the terms that applied then. We do not treat continued browsing as consent to anything for which the law requires separate explicit consent.
11. Governing law
This Disclaimer, and any dispute or claim arising out of or in connection with it or its subject matter, is governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and the courts of Dubai have jurisdiction.
Any dispute that both parties agree to resolve by arbitration shall be referred to and finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) under the DIAC Arbitration Rules 2022, with the seat of arbitration in Dubai, United Arab Emirates, conducted in English. If DIAC ceases to exist or to administer the dispute, it shall be administered by DIAC's successor institution. This option does not deprive a consumer of any right to bring proceedings in the courts of their place of residence where mandatory law allows.
