Seller agreement

This Seller Agreement (“Agreement”) governs your use of SOUQ.GG to list, promote, and sell digital products. It supplements the Terms of Service and the Acceptable Use Policy. By submitting a Listing or onboarding as a Seller, you accept this Agreement on your own behalf or on behalf of the legal entity you represent.

1. Eligibility

You must be at least 18 years old (or the local age of majority) and able to enter binding contracts. Entities must be lawfully formed and in good standing. We may require identity verification, business documents, banking information, and tax forms before enabling payouts. We may decline a Seller application at our discretion.

2. Seller onboarding (Stripe Connect)

#

Paid Sellers complete onboarding through Stripe Connect. Today we use the Express flow, which collects the minimum information required by Stripe to enable payouts in your country. Information you provide goes directly to Stripe and is governed by Stripe’s terms. SOUQ.GG receives a connected-account ID and payout status, but does not store full bank-account or government-ID details.

You agree to keep your Stripe Connect account in good standing. If Stripe restricts or closes your connected account, your ability to receive payouts on SOUQ.GG is paused or terminated correspondingly.

3. KYC / AML / sanctions

We screen Seller activity for fraud, money-laundering, terrorism financing, and sanctions risks, and we comply with applicable AML/CFT laws. We may require enhanced due diligence (source-of-funds, beneficial ownership, business documents) above certain thresholds or where flags arise. We may freeze, hold, or return funds when required by law or by our risk policies.

4. Listings

You are responsible for the accuracy, legality, and quality of your Listings, including title, description, screenshots, price, license terms, version history, files, and category placement.

Sellers must clearly disclose:

  • License type and seat/usage limits.
  • Supported environments, dependencies, and minimum system requirements.
  • Any DRM, activation server, or hardware fingerprinting.
  • Refund eligibility (if different from the default Refund Policy).
  • Known limitations, broken features, or third-party dependencies.
  • For datasets: source, licensing, anonymization, and any consent basis.

5. License you grant

To Buyers. When a Buyer obtains your Product (free or paid), you grant them the license you advertise in the Listing. The default license is non-exclusive, non-transferable, and for the Buyer’s own internal use. You may offer different license terms in the Listing, provided they are lawful and clearly disclosed.

To SOUQ.GG. You grant SOUQ.GG a worldwide, non-exclusive, royalty-free license to host, reproduce, transcode, display, market, and deliver your Listing and Product files to Buyers, and to use marketing excerpts (titles, descriptions, thumbnails, sample pages, watermark previews) to promote the Service. You also authorize SOUQ.GG to act as your limited agent for the purpose of collecting payments, refunding Buyers, and crediting or debiting your balance.

6. Fees and Platform commissions

SOUQ.GG charges a Platform Fee on paid Orders. The current standard rate is published in the Seller dashboard and is subject to change with notice. Indicative ranges:

  • Standard fee: a percentage of the gross sale plus a small fixed amount per Order.
  • Volume tiers: reduced rates may apply to high-volume Sellers under separately agreed terms.
  • Promotions: some launches or campaigns may temporarily waive or modify fees.

Payment-processor fees (Stripe, Stripe Connect, currency conversion) are passed through to the Seller. SOUQ.GG does not retain processor fees on refunded Orders unless required by the processor.

7. Payouts

#

Payouts are processed through Stripe Connect on a schedule shown in your Seller dashboard. Typical defaults are weekly payouts with a minimum threshold (for example, USD 10 or local equivalent). New Sellers may have a holding period (typically 7 days) before the first payout. We may delay or withhold payouts where we reasonably believe an Order is fraudulent, disputed, subject to chargeback, or in violation of this Agreement or law.

You are responsible for ensuring your Stripe-connected bank account is correct and current. We are not liable for payouts misdirected by incorrect account details.

8. Reserves and holds

#

SOUQ.GG may apply a rolling reserve on a portion of incoming payments where risk indicators warrant it (for example, high chargeback ratio, large-ticket digital items, sanctions screening). Reserved amounts are released on a schedule disclosed at the time the reserve is established. We will notify you before imposing or modifying a reserve, except where immediate action is required to protect Buyers, the Service, or to comply with law.

9. Taxes

#

You are responsible for determining, collecting, and remitting any taxes (including sales tax, VAT, GST, and income tax) arising from your sales, except where SOUQ.GG is required by law to collect taxes on your behalf as the “deemed seller” (for example, EU VAT on B2C digital services under EU rules, or marketplace facilitator laws in some U.S. states).

SOUQ.GG may collect tax information (W-9, W-8BEN, W-8BEN-E, or local equivalents). For U.S. tax reporting, eligible Sellers may receive Form 1099-K or analogous statements. International Sellers may be required to supply VAT/GST registration numbers where applicable.

10. Seller warranties

You represent and warrant that:

  • You own or are licensed to distribute every Product, file, and asset you list.
  • Your Listings and Products comply with this Agreement, the AUP, and applicable law.
  • You have all consents required to use any third-party content, code, or media in your Products.
  • Your Products do not contain malware, surveillance code, or hidden tracking that violates law.
  • The information you provide for onboarding, identity, banking, and tax purposes is true and current.
  • Any datasets you sell are sourced lawfully and, where they include personal data, have an appropriate lawful basis.

11. Buyer support

#

Sellers are expected to respond to Buyer questions about their Products within a reasonable time (typically within 5 business days). SOUQ.GG may mediate, but the contractual relationship for the underlying Product is between you and the Buyer. Repeated failure to respond to Buyer support requests is a basis for delisting Products or terminating a Seller Account.

12. Refunds and chargebacks

Refunds are handled per the Refund Policy. Sellers authorize SOUQ.GG to debit their balance or withhold future payouts to fund approved refunds and chargeback resolutions, including processor fees and reasonable handling charges. Sellers are responsible for chargeback losses unless and to the extent the chargeback was caused by SOUQ.GG’s gross negligence or willful misconduct.

13. Customer data

#

SOUQ.GG provides Sellers with the minimum information needed to fulfill orders (Buyer username, Order ID, and where applicable, the Buyer’s contact email for support correspondence). Sellers must:

  • Use Buyer data solely for fulfillment, support, and tax/accounting compliance.
  • Implement reasonable safeguards to protect Buyer data.
  • Not sell, share, or use Buyer data for marketing unless the Buyer has separately opted in directly with the Seller.
  • Comply with applicable data-protection law (GDPR, UK GDPR, CCPA/CPRA, etc.) and be willing to sign a Data Processing Addendum where required.

14. Performance metrics & quality

#

We measure Seller performance on signals including refund rate, chargeback rate, response time, defect rate, and average rating. Persistent issues may result in:

  • Reduced visibility in search and recommendations.
  • Suspension from featured placements or sale events.
  • Mandatory improvement plans with clear KPIs.
  • Delisting of specific Products or termination of the Seller Account.

15. Marketing & promotions

#

We may feature Listings in homepage placements, category pages, newsletters, social posts, and partner channels. You grant us a limited license to use your Listing assets for that purpose. We may run platform promotions (such as launch weekends, sitewide sales) with rules published in advance; participation may be optional or opt-out depending on the promotion.

16. Audit rights

#

For Sellers with significant volume, we may, on reasonable notice (at least 14 days) and during business hours, audit your records relating to your Products on SOUQ.GG to verify compliance with this Agreement and law (for example, license-grant chains for resold content). We will keep audit findings confidential, will not access materials unrelated to SOUQ.GG, and will reimburse reasonable Seller costs unless the audit uncovers material non-compliance.

17. Indemnity

#

You will defend, indemnify, and hold harmless SOUQ.GG and its affiliates from any third-party claim arising out of (a) your Listings or Products, (b) your breach of this Agreement or applicable law, or (c) your violation of any third-party right (including IP rights). We will give you prompt notice and reasonable cooperation; you must not settle a claim in a way that admits SOUQ.GG’s liability without our prior written consent.

18. Term, suspension, termination

This Agreement remains in effect while you maintain a Seller Account. SOUQ.GG may suspend or terminate Seller access (with or without notice) for material breach, suspected fraud or abuse, risk to other users, legal requirement, or repeated buyer-protection complaints. You may close your Seller Account at any time; obligations relating to outstanding Orders, refunds, indemnity, and ongoing licenses to existing Buyers survive termination.

19. Changes

#

We may update this Agreement. We will notify Sellers of material changes and, where required, request re-acceptance. Continued use of Seller features after the effective date constitutes acceptance.
